Terms and Conditions

Contract & General
1.1 These General Terms and Conditions, together with the written quote, proposal or research specification, shall constitute the entire contract between Asia Opinions Ltd and the Client.
1.2. The "Client" means the company, organisation or individual to which "Services" are provided.
1.3. "Services" means the activities and work undertaken by Asia Opinions Ltd, including but not limited to design and execution of surveys, scripting and hosting of online surveys, and the provision of sample, data analysis and reporting.
1.4. Asia Opinions Ltd is a company registered in England and Wales, under the Company Number 07429057.

Quotes and Proposals
2.1. All quotes or proposals will be open for two months from the date of issue.
2.2. Any alteration to these terms or the quote, proposal or research specification, must be agreed with Asia Opinions Ltd in writing.

Fees and Cost of Services
3.1. The fees and costs of research services provided shall be stated in the quotes or proposals, or that subsequently provided in writing.
3.2. Asia Opinions Ltd reserves the right, by giving adequate notice to the client at any time before delivery of the services to increase the price of services to reflect any increases in costs to Asia Opinions Ltd, which is due to any factor beyond the control of Asia Opinions Ltd, such as changes in the specification of research services, sample specification, quantity of interviews or analysis services requested by the Client, or due to failure of the Client to provide adequate information or instructions.
3.3. The fees and costs for Services is exclusive of Value Added Tax, which the Client shall be liable to pay to Asia Opinions Ltd.

Terms of Payment
4.1. Unless otherwise agreed in writing, the Fees and Costs of Services will be invoiced 50% on commissioning and 50% on completion.
4.2. The Client shall pay all fees and costs within thirty (30) days of the date of the invoices
4.3. Outstanding fees and costs after 30 days of the invoice date shall be liable to an interest charge of 2.5% per month

Cancellation of Commissioned Work and Project Delays
5.1. If the Client cancels the Contract at any time after work has been commissioned, the Client shall be liable to pay for costs and work undertaken up until the point of cancellation, plus a standard cancellation fee of 10% of the agreed project Fee and Costs stated in the quote or proposal.
5.2. Asia Opinions Ltd will endeavour to complete any project in accordance with estimated timescales agreed in the proposal or quote, but the Client agrees that Asia Opinions Ltd shall not be liable for any damages, losses or expenses whatsoever arising through delays outside its control.

6.1. Asia Opinions Ltd reserves the right, where necessary, to sub-contract any part of a research project to recognised and approved third party suppliers, subject to the appropriate quality controls.

Limits of Liability
7.1. Asia Opinions Ltd warrants that:
(i) It will provide the Services in accordance with generally accepted standards in the market research industry, and the Standard Code of Conduct maintained by the Market Research Society.
(ii) Its products and Services will not infringe the intellectual property rights of any third party
(iii) It has complied with all applicable laws, including but not limited to the Data Protection Act 2006 in providing Services
7.2. Asia Opinions Ltd shall endeavour to ensure the accuracy of data, survey results, data tables or any survey report provided to Clients, but Asia Opinions Ltd does not guarantee that the data collected, processed or analysed can be used by the Client in a commercial way and it does not warrant that the data provided is complete and accurate in all aspects.
7.3. Asia Opinions Ltd undertakes to maintain professional indemnity and public liability insurances up to £250,000.
7.4. In no circumstances shall either party be liable to the other, in contract, tort (including negligence, or breach of statutory duty) or otherwise howsoever, and whatever the cause thereof, (i) for any loss of profit, business, contracts, revenues or anticipated savings or (ii) for any special, indirect, incidental or consequential damage of any nature whatsoever.

Professional Conduct
8.1. Asia Opinions Ltd are obliged to maintain the standards set out under the Market Research Society Code of Conduct.

Ownership, Copyright and Other Intellectual Property Rights
8.2. Copyright in all Reports and other documents prepared and supplied by Asia Opinions Ltd pursuant to the Contract shall remain vested in Asia Opinions Ltd.
8.3. Reports and other findings made by Asia Opinions Ltd in the performance of the Contract are supplied to the Client on the understanding that:
(i) they shall only be divulged to officers and employees of the Client or the Client's advertising agencies or PR agencies
(ii) that their contents shall not be divulged to any third party without the agreement of Asia Opinions Ltd

Governing Law
This Agreement will be governed by and construed in accordance with English law and the parties agree to submit to the exclusive jurisdiction of the English courts.
